Dealership User License Agreement (Per Location)

This Dealership User License Agreement (the "Agreement") is entered into between

 Local Service AI, LLC  ("Licensor," "we," "us," or "our") and the client, being the car dealership entity ("Licensee," "you," or "your") subscribing to our Voice AI SaaS services. This Agreement governs your access to and use of the Voice AI Software (the "Software") on a per-location basis. By subscribing to and using the Software, you agree to be bound by the terms of this Agreement.

1. Grant of License

Subject to your compliance with this Agreement, including timely payment of all applicable subscription fees, Licensor grants you a non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software solely for your internal business operations at the specific dealership location identified in your subscription order (the "Licensed Location"). This license is limited to the Licensed Location and does not extend to any other locations, affiliates, or third parties without prior written consent from the Licensor.

The license includes:

- Access to the core Voice AI functionality for handling customer interactions, inquiries, and service-related communications at the Licensed Location.

- All Software updates, enhancements, bug fixes, and new features released by Licensor during the term of your active subscription.

- All development updates and improvements to the Software for the operational life of the Licensed Location, provided your subscription remains current and in good standing.

This license is subscription-based and continues only for as long as you maintain an active, paid subscription. Upon termination or non-renewal of your subscription, all access rights to the Software will immediately cease.

2. User Rights and Limitations

You acknowledge and agree that:

No Ownership: You do not own the Software or any part thereof. Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights (such as copyrights, patents, trademarks, trade secrets, and any derivatives). The Software is licensed, not sold, and you receive no ownership interest or title transfer under this Agreement.

Limited Use Rights: Your rights are strictly limited to using the Software as a subscriber for the Licensed Location's business purposes. You may not copy, modify, reverse-engineer, decompile, disassemble, or create derivative works from the Software. You may not rent, lease, sell, distribute, or otherwise transfer the Software to any third party.

Subscription Dependency: Your access and use rights are contingent upon your ongoing payment of subscription fees. If payments are delayed, missed, or otherwise not made in full, Licensor reserves the right to suspend or terminate your access immediately, without liability.

Data and Usage: Licensor may collect usage data, analytics, and performance metrics from your use of the Software to improve services, but such data will be handled in accordance with our Privacy Policy. You grant Licensor a perpetual, irrevocable license to use anonymized data derived from your usage for these purposes.

Compliance: You must comply with all applicable laws and regulations in your use of the Software. You are responsible for ensuring that your employees and agents adhere to this Agreement.

3. Term and Termination

Term: This Agreement commences on the date of your subscription activation and continues for the duration of your paid subscription period, renewing automatically unless terminated.

Termination: Licensor may terminate this Agreement and revoke your license at any time if you breach any term, including non-payment. You may terminate by canceling your subscription in accordance with our cancellation policy. Upon termination, you must cease all use of the Software, and any accrued fees remain payable.

Survival: Sections regarding ownership, limitations on liability, and any payment obligations survive termination.

4. Updates and Support

As part of your subscription, you will receive automatic access to all Software updates and development enhancements released by Licensor. These may include new AI models, integration features, security patches, and performance improvements. Licensor provides these updates at no additional cost during your active subscription term, but we do not guarantee specific timelines or features for future developments.

5. Disclaimer and Limitation of Liability

The Software is provided "as is" without warranties of any kind, express or implied. Licensor disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement. In no event shall Licensor be liable for indirect, consequential, or punitive damages arising from your use of the Software. Licensor's total liability under this Agreement shall not exceed the subscription fees paid by you in the twelve (12) months preceding the claim.

6. Governing Law and Miscellaneous

This Agreement is governed by the laws of Wyoming, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the courts located in Wyoming. This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements.
